1. About these terms
These Terms of Service ("Terms") are an agreement between you and Elevate Digital Marketing ("Elevate", "we", "us"), based in British Columbia, Canada. They cover your use of Elevate SEO, including the website at seo.elevatedm.ca, the dashboard, client share links, reports and the MCP server and API (together, the "Service").
By creating an account, buying a plan or credit pack, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company or for your clients, you confirm that you're allowed to accept these Terms for that company. The Service is meant for business use, and you must be at least 18 or the age of majority where you live.
2. The service
Elevate SEO provides SEO and AI visibility tools, which may include site audits, site crawls, rank tracking, Google Maps and local results, Google Business Profile checks, keyword research, backlink comparisons, content briefs, AI visibility checks across AI assistants, an assistant that explains your results, client share links and branded reports. The tools available on each plan are described on our pricing page and in your dashboard.
3. Recommendations are advice only
Please read this section carefully. It explains what we are and aren't responsible for.
The Service is an information and reporting tool. It reads public information about websites and search results and gives you data, scores and recommendations. It does not log in to, modify, publish to or install code on any website, and we don't ask for access to your website, hosting, Google accounts or content management system.
Any change you or anyone else makes to a website, listing, ad account or content based on the Service is your decision and your responsibility. That includes code, schema markup, structured data, meta tags, redirects, robots.txt or llms.txt files, prompts and copy suggested by the Service or by its assistant. Before making changes, you should review them, test them where appropriate and keep backups. We aren't responsible for any loss, downtime, ranking changes, penalties or other results that come from changes made to a website or account, whether or not those changes were based on our recommendations.
If you're an agency or consultant, you're responsible for the advice and work you deliver to your clients, and for explaining to them that Service results are estimates and recommendations.
4. Your account and API key
- Your account is tied to the email address and Stripe customer used at checkout. Keep your email address current.
- Your API key is your login for the dashboard and for MCP and API access. It's shown once when you sign up. We only store a secure hash of it, so we can't show it to you again. If you lose it, you can create a new one from the sign-in page using a link sent to your account email, which switches off the old key.
- Keep your key private. Anyone who has it can use your account and your credits. You're responsible for activity under your key until you tell us it's been exposed and we've replaced it. Email hello@elevatedm.ca right away if you think it has been.
- You may share access with people on your own team. You may not sell, rent or publish your key, or share it with people outside your organization.
5. Plans, credits and billing
Subscriptions
- Plans are billed monthly in advance in US dollars through Stripe, and renew automatically each month until you cancel.
- Prices don't include sales tax, GST, HST, PST, QST or VAT. Where those apply, they're calculated from your billing address and added at checkout.
- If a payment fails, your account may be paused until the balance is paid.
Credits
- Each plan includes a number of credits per month. Running a tool uses credits based on the data it needs, and the dashboard shows what each tool costs.
- Monthly credits reset on the first day of each calendar month (UTC). Unused monthly credits don't roll over.
- There are no automatic overage charges. When you run out of credits, paid tools stop until your credits reset or you buy a credit pack. Your saved data, reports and billing settings stay available.
Credit packs
- Credit packs are a one-time purchase of extra credits, available from your dashboard.
- Pack credits are used only after your monthly credits run out, starting with the pack that expires first.
- Each pack expires 12 months after purchase. Unused credits expire with it and have no cash value.
- Credit packs can only be used while you have an active subscription.
Price changes
We may change plan prices, credit allowances or credit costs. We'll email you at least 30 days before a price increase applies to your subscription, and you can cancel before it takes effect.
6. Cancellation and refunds
- You can cancel anytime from Manage billing in your dashboard. Your plan stays active until the end of the month you've paid for, and it won't renew after that.
- After cancellation, your account and its data are kept for 90 days so you can come back, then deleted automatically, as described in our Privacy Policy.
- Payments are non-refundable, including for partial months and unused credits, except where required by law or where we decide otherwise in a specific case.
- If we refund a credit pack, in full or in part, the matching share of that pack's credits is removed from your account.
- If you dispute a charge with your bank or card issuer, we may pause your account or remove the related credits while the dispute is open. Please contact us first; most billing problems are faster to fix directly.
7. Acceptable use
You agree not to:
- use the Service for anything illegal, deceptive or harmful, or to violate anyone's rights;
- point the tools at private networks, internal systems or websites in a way meant to probe, attack or overload them;
- try to get around credit limits, rate limits, security controls or account restrictions, or run automated traffic at a level meant to degrade the Service;
- copy, resell or redistribute the underlying data in bulk as a competing data product or API;
- reverse engineer the Service, except where the law allows it;
- upload malware, or content you don't have the right to use.
Using results in your own work and in reports for your clients is allowed and expected.
8. Your content and client data
- You keep ownership of what you put into the Service, such as domains, keywords, prompts, client details, notes, logos and branding ("Your Content").
- You give us permission to store and process Your Content, and to send it to the service providers described in our Privacy Policy, only as needed to run, secure and support the Service.
- You're responsible for having the right to use Your Content, including any information about your clients.
- Client share links and shared reports can be opened by anyone who has the link. Only share them with people you intend to, and turn off or rotate a link from your dashboard if it was shared by mistake.
- We don't sell Your Content.
9. Copyright complaints
We respect the intellectual property of others and expect customers to do the same. Logos, branding and other content that customers add to the Service, and reports they share, are theirs to answer for (see section 8).
If you believe content on the Service, including a shared report, infringes your copyright, send a notice to our designated copyright agent with: your contact details; a description of the copyrighted work; the address (URL) of the material on the Service and enough detail for us to find it; a statement that you have a good-faith belief the use isn't authorized by the copyright owner, their agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you're the owner or authorized to act for the owner; and your physical or electronic signature.
Copyright agent: Elevate Digital Marketing, Attn: Copyright Agent, [mailing address to be added], hello@elevatedm.ca.
When we receive a complete notice we'll remove or disable access to the material, tell the customer who added it, and, where the law provides for it, accept a counter-notice from them. We may close the accounts of repeat infringers. This process follows the US Digital Millennium Copyright Act (17 U.S.C. §512) and the notice-and-notice provisions of Canada's Copyright Act, and it applies to anyone who uses the Service.
10. Third-party data and AI results
The Service relies on outside sources, including search data providers, Google services and AI models from providers such as OpenAI, Anthropic and Perplexity. Search volumes, rankings, backlinks, local results and AI answers are estimates or snapshots. They vary by location, device, time and the provider's own systems, and they can be incomplete or wrong. AI-generated answers and assistant explanations can contain mistakes.
We don't guarantee any ranking, traffic, lead, AI mention or business result. Search engines and AI providers aren't affiliated with us, and we don't control how they rank or describe any business.
11. Availability and changes
We work to keep the Service available and reliable, but we don't promise it will be uninterrupted or error-free. We may add, change or remove features, data sources or tools. If we remove a core feature of your plan, we'll tell you, and you can cancel.
12. Suspension and termination
We may suspend or close an account that breaks these Terms, puts the Service or others at risk, or has unpaid charges. Where it's reasonable, we'll tell you first and give you a chance to fix the problem. If your subscription ends, your API key stops working. You can ask us to export or delete your data as described in our Privacy Policy.
13. Disclaimers
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
14. Limitation of liability
To the extent the law allows:
- we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or search rankings;
- our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event that caused the claim.
Some places don't allow certain limits, so some of these may not apply to you. Nothing in these Terms limits rights you have under law that can't be waived.
15. Indemnity
You agree to cover reasonable losses and costs (including reasonable legal fees) we incur from a claim by a third party, including one of your clients, that arises from Your Content, your breach of these Terms, or changes you or your clients make to a website or account.
16. Governing law
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. You and we agree to the jurisdiction of the courts of British Columbia, unless the law where you live gives you a right to bring a claim somewhere else.
17. Changes to these terms
We may update these Terms. For material changes, we'll email account holders or post a notice in the dashboard before the changes take effect. Continuing to use the Service after that means you accept the updated Terms.
